本条款由〔香港公司法定名称〕（以下称「我们」或「厂商」）与通过 https://geo.schemasandbox.com 下载并使用「品牌飞梭 Brand Shuttle GEO」软件（以下称「软件」）的您（以下称「用户」）之间订立。使用本软件即表示您同意本条款。

1. 服务内容

本软件是一款本地优先运行的 GEO（生成式引擎优化）诊断工作台，用于帮助用户了解其品牌与网站在各 AI 推荐引擎中的可见度，并生成可执行的信源修复建议。软件以「按周期购买使用授权」方式交付，季付或年付。

2. 授权范围

• 用户购买的是在授权周期内、于授权设备上使用本软件的「有限使用许可」，而非软件源码、永久版权或转售权。
• 授权按设备绑定，依据签名授权文件激活；Windows 与 macOS 分别占用授权席位。
• 未经我们书面许可，用户不得复制、修改、反编译、反汇编、出租、转授权或以任何方式分发本软件。

3. 订阅周期与续费

• 季付：自付款确认起按自然月增加 3 个月；年付：自付款确认起按自然月增加 12 个月。
• 提前续费不会损失剩余期限：新到期日等于原到期日与本次付款时间的较大者，再加上一个周期。
• 到期末自动停止；如需继续使用，请再次购买并续期。

4. 价格与支付

• 人民币标价为官方参考价；面向香港结算，支付以港币 HKD 进行，支持支付宝、微信支付与银行卡。
• 我们有权在提前合理通知后调整未来周期的价格；已付款周期不受影响。
• 支付由合规支付服务方处理；我们不会存储用户的支付卡信息。

5. 用户责任

• 用户需自行提供并妥善保管用于采样所需的 AI 服务 API Key；Key 仅保存在用户本机。
• 用户应对使用本软件及其诊断结果所做出的商业决策自行负责；诊断结果仅供决策参考。
• 用户不得将本软件用于违法、侵害他人知识产权或冒用他人品牌的活动。

6. 隐私与数据

软件为本地优先运行。用户的诊断数据与 API Key 保存在本机，我们不在服务器端收集用户业务数据。我们对个人信息的处理详见《隐私政策》。

7. 免责声明

本软件按「现状」提供。在适用法律允许的最大范围内，我们不保证软件功能或诊断结果满足用户的特定目的、不中断或不出错。诊断结果基于公开信源与第三方数据，可能存在变化或延迟。

8. 责任限制

在任何情况下，我们对因使用或无法使用本软件而导致的间接、附带、特殊或后果性损害承担责任的范围，以用户为访问相应功能已支付的授权费用为限。

9. 终止

若用户违反本条款，我们有权中止或终止其授权。到期或终止后，用户应停止使用本软件并删除本地副本。

10. 升级服务

在授权有效期内，我们提供升级服务，包括信源权重、AI 平台变化、诊断规则、报告模板、行业模板、已知缺陷修复与授权策略更新。升级通过受签名的更新清单安全交付。

11. 条款变更

我们可能修订本条款。重大变更会通过软件或网站提前告知。修订后的条款在发布后生效；继续使用即表示接受修订。

12. 适用法律与争议

本条款受香港特别行政区法律管辖。因本条款产生的争议，双方应首先协商解决；协商不成的，提交香港有管辖权的法院解决。

These Terms are between [HK Company Legal Name] ("we" or the "Vendor") and you, the user ("User") of the "Brand Shuttle GEO" software ("Software") downloaded from https://geo.schemasandbox.com. By using the Software you agree to these Terms.

1. Service Description

The Software is a local-first GEO (Generative Engine Optimization) diagnosis workbench that helps users understand the visibility of their brand and website across AI recommendation engines and generates actionable source-repair recommendations. It is delivered as a term license, purchased quarterly or annually.

2. License Scope

• Users purchase a limited license to use the Software on authorized devices for the license term — not the source code, permanent ownership, or resale rights.
• Licenses are device-bound and activated by signed license files; Windows and macOS each consume a seat.
• Without our written consent, Users may not copy, modify, decompile, disassemble, rent, sublicense, or redistribute the Software in any form.

3. Subscription Term & Renewal

• Quarterly: 3 calendar months from payment confirmation; Annual: 12 calendar months from payment confirmation.
• Renewing early never loses remaining time: the new expiry equals the later of the current expiry and the payment time, plus one term.
• The license stops at the end of the term; purchase again to continue.

4. Pricing & Payment

• CNY is the official listed price; billing is settled in HKD via a Hong Kong entity, supporting Alipay, WeChat Pay and cards.
• We may adjust future-term pricing with reasonable advance notice; already-paid terms are unaffected.
• Payments are processed by a compliant payment provider; we do not store payment card data.

5. User Responsibilities

• Users provide and protect the AI-service API keys used for sampling; keys remain only on the User's device.
• Users are solely responsible for business decisions based on diagnosis results, which are for reference only.
• Users may not use the Software for unlawful activities, infringement of others' intellectual property, or impersonation of other brands.

6. Privacy & Data

The Software runs local-first. Diagnosis data and API keys stay on the User's device; we do not collect User business data on servers. See the Privacy Policy for how we process personal information.

7. Disclaimer

The Software is provided "as is". To the maximum extent permitted by applicable law, we do not warrant that the Software or its results meet a specific purpose, are uninterrupted, or error-free. Diagnosis results rely on public sources and third-party data and may change or lag.

8. Limitation of Liability

To the extent permitted by law, our total liability for indirect, incidental, special, or consequential damages arising from use of the Software is limited to the license fees the User has paid for the relevant functionality.

9. Termination

We may suspend or terminate a license if the User breaches these Terms. After expiry or termination, the User must stop using the Software and delete local copies.

10. Upgrade Service

During the license term we provide upgrades covering source weights, AI platform changes, diagnosis rules, report templates, industry packs, known bug fixes, and licensing policy updates. Upgrades are delivered securely via signed update manifests.

11. Changes to These Terms

We may revise these Terms. Material changes will be announced in advance through the Software or website. Revised terms take effect upon posting; continued use constitutes acceptance.

12. Governing Law & Disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Disputes shall first be resolved through negotiation; failing that, through the competent courts of Hong Kong.
